Acme Stone & Block Company contracted to sell and deliver to the City of
Minneapolis a quantity of paving blocks, with delivery to be made in the first six
months of the next calendar year. The contract did not contain any clause excusing a
late delivery in the event of a strike, shortage or similar events beyond the
company’s control. Because of a nationwide boxcar shortage, the company
informed the city that it would not be able to deliver in time. The city protests and
calls attention to the terms of the agreement. What are the options of the parties?
