Ans 11: Herman wont be allowed to sue the company at any terms. first of all he is not the shareholder right now at present, so he has no ownership. BUT, the main point is declaring and giving dividend is under the discretion of company. The company may share the profits with the shareholder's or may not share. It can keep it with itself for future requirements. So, no way the suit will be allowed. So, 4th option would be correct.
