Answer #1

Multinational structure is well structured organisation, their parent company will located in some other companies but their offices will be across the globe. their structure will be divided in to continent wise like CEO will be the head and president  of the country and they keep the vice president for continent like Asia region will be different Vice president and Europe Will be different. Africa will be different and Australia will be different VP. Each Continent VP's under covers 5-10 Countries depending on their operations. and each country has different - different county head who report to these Continent Head. In simple terms see this illustration:

GLOBAL HEAD/CEO/CHAIRMAN>CONTINENT REGION VICE PRESIDENT>COUNTRY HEAD>COUNTRY VP'S>COUNTRY GENERAL MANAGER>MANAGER>GENERAL EMPLOYEES

this is typical organisational structure of MNC.

if we talk about merger and acquisition, these global company generally start their companies in other company by setting their local offices or they can acquire or merge their business with local business of that particular country. generally they acquire business of local countries so they have not to worry about from the starting business from zero. they get everything like infrastructure.their customer, their employees, offices, contracts, local environment everything. they only have to worry about changing the management. sometimes they purchase shares of exiting companies of the other countries and slowly slowly they increase their shares.
