Q.1 Briefly what happened here ? what do you see as the main issue ?

Response :

4 different person working as an employee in health care sector having desire to start their own venture comes together. They know each other through professional network and other social gatherings. Their skills were complementing and hence after number of discussion they have come up with business idea and formed the firms TS7. The initial investment being significant of $50,000 for each partner. They have made simple agreement without help of lawyer and started to work.

One of the partner (Luisa) have been working in another startup where they are also developing similar product to TS7. When Luisa was questioned on this aspect by other partners he submitted that the formula of their idea is different than product developed under TS7 and as per freedom of contract he can do so.

The main issue appears here is the casual approach toward legal agreement to save the cost. They should have consulted lawyer to draft proper agreement which would incorporate the expected conduct of partners and what activities are permissible and not permissible. Even one of the partner would have taken legal advise on this incident matter would be resolved at the earliest.

Q.2 Whether Luisa is doing right

Luisa is not right in her actions.

The Uniform Partnership code and partnership law enacted by number of states invariably provides fiduciary duties on partner. Fiduciary duties can not be waived by agreement as well.

e.g.

California law recognizes four (4) fiduciary duties: duty of care; duty of loyalty; duty of obedience; and, duty of good faith and fair dealing.

A partner’s duty of loyalty includes all of the following: (1) to account to the partnership and hold as trustee for it any property, profit, or benefit derived from the partnership business; (2) to refrain from dealing with the partnership as or on behalf of a party having an adverse interest to that of the partnership; and, (3) to refrain from competing with the partnership in the conduct of the partnership business

In view of above Luisa's action is not correct in eyes of law
