When plants and animals die, they get decomposed in the soil by microorganisms, but in case of fossils, they are remained in soil with out decomposition.

The organisms remains as fossil due to freezing conditions, drying and storage in tar and resin.Fossil formation takes place when remains of animals are filled mud immediately after organism dies.Peat bogs (moist) and volcanic ash are best places for fossilization to take place.

Ocean floor is one of the best source where we can find many fossils, sediment layers are formed in the ocean floor which is undisturbed for several years.
