Ans - Vigilance of the board of direcctors (OPTION 1)

In a company, responsibilities of a manager are numerous some of which are
- Making sure that there is integrity in management and all no ethical guidelines are overruled
- Making sure that there is full transparency and any and every information of material nature are properly disclosed wherever necessary
- Safeguarding the interests of shareholder's are one of the first priorities of the company and it's top officials and may even come before it's objective of Profit maximization because nowdays maximization of shareholders wealth is given far more importance

However there is a limit to the extent of manager's powers. Board of directors are at the top level of management after CEO and managers do not have any control over their Vigilance.
